1. Acceptance of Terms
By accessing and using the services, products, and website of A4 B&R B.V. (“the Company,” “we,” “us,” or “our”), you (“the Client,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not use our services or purchase our products. These Terms constitute a legally binding agreement between you and A4 B&R B.V.
2. Products and Services
A4 B&R B.V. specializes in the supply of various paper products, including but not limited to A4 paper, specialty papers, and related office supplies. We make every effort to display product descriptions, specifications, and pricing accurately. However, we reserve the right to change product information, pricing, or availability without prior notice. All orders for products are subject to product availability and acceptance by the Company. An order confirmation does not guarantee fulfillment until the product has been dispatched.
3. Pricing and Payment
All prices are listed in the currency specified on our website or invoice and are exclusive of applicable Value Added Tax (VAT) and other taxes, which will be added to the total amount. Payment terms will be specified on the invoice. For established business clients, credit terms may be granted subject to a satisfactory credit check. Payment must be made in full by the due date. The Company reserves the right to suspend or terminate services for clients with overdue payments. Title to the goods remains with A4 B&R B.V. until full payment has been received and cleared.
4. Orders, Delivery, and Returns
Orders can be placed via our website, email, or phone. We will use reasonable efforts to meet delivery dates and times quoted but shall not be liable for any delays caused by events beyond our reasonable control. Risk of loss or damage to the products passes to you upon delivery. If you receive an incorrect or damaged item, you must notify us within 5 business days of receipt. Returns will only be accepted with prior authorization from the Company and must be in their original, undamaged packaging. A restocking fee may apply at our discretion. Custom or special-order items are non-returnable.
5. Intellectual Property
All content on the A4 B&R B.V. website, including but not limited to text, graphics, logos, images, and software, is the property of A4 B&R B.V. or its content suppliers and is protected by international copyright and intellectual property laws. You may not use, reproduce, modify, or distribute any of this content without our express written permission.
6. Limitation of Liability
To the fullest extent permitted by law, A4 B&R B.V. shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our products or services, or these Terms. Our total liability to you for any cause of action whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the product(s) or service(s) at issue. This exclusion does not affect your statutory rights as a consumer.
7. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the course of business, including but not limited to pricing lists, customer data, and business strategies. This obligation of confidentiality shall survive the termination of any business relationship.
8. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws, without regard to its conflict of law provisions. Any disputes shall be first attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute will be submitted to the exclusive jurisdiction of the courts.
9. Termination
A4 B&R B.V. may terminate or suspend your access to our services and refuse to provide products immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
10. Amendments to Terms
We reserve the right to amend these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
